Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Menu Matrix LLC ("Menu Matrix," "we," "us," or "our"). By accessing, purchasing, or using any of our services, including but not limited to website design, hosting, maintenance, and digital menu services, you agree to be bound by these Terms. If you do not agree, you may not use our services.

1. Services

Menu Matrix provides two primary categories of services:

  1. Web Design and Website Services for businesses of all types, which may include website design, development, hosting, maintenance, updates, and related digital services.
  2. Digital Menu Services for restaurants and food-service businesses, including QR-code menus, digital menu hosting, and related assets.

Specific services, pricing, deliverables, and service levels may be outlined in a separate proposal, invoice, service order, or statement of work ("Service Agreement"), which is incorporated by reference into these Terms.

2. Change Requests

2.1 Scope of Changes
Requests for changes, edits, or updates to websites or digital menus must fall within the scope of the selected plan or Service Agreement.

2.2 Excessive or Material Changes
Menu Matrix reserves the right, in its reasonable discretion, to deny, defer, or require additional fees for change requests that are:

  • Excessive in frequency;
  • Substantial in scope; or
  • Outside the services included in the applicable plan or agreement.

2.3 Timeline for Changes
Menu Matrix will determine the timeline for completing approved change requests based on workload, complexity, and business priorities. Timelines provided, if any, are estimates and not guarantees.

3. Fees and Payment

3.1 Payment Obligations
You agree to pay all fees as set forth in your Service Agreement or invoice. Fees may be recurring (monthly or otherwise) or one-time, as specified.

3.2 Failed Payments
If a payment method fails or a charge is declined, it is your responsibility to promptly resolve the outstanding balance. If payment is not received within thirty (30) days of the failed charge, Menu Matrix reserves the right to suspend or terminate services, including taking down websites or digital menus, without further obligation.

4. Cancellation and Termination

4.1 Client-Initiated Cancellation
You may cancel recurring services by providing written notice at least five (5) business days prior to the next billing renewal date. Failure to provide timely notice may result in charges for the next billing period.

4.2 Effect of Cancellation
Upon cancellation or termination for any reason:

  • Hosting, websites, digital menus, and related services may be disabled or taken offline;
  • Menu Matrix is not obligated to provide continued access to the website, digital menu, source files, or standard operating procedures (SOPs) unless otherwise stated in writing.

4.3 Company-Initiated Termination
Menu Matrix reserves the right to suspend or terminate services at any time, with or without notice, for reasons including but not limited to non-payment, violation of these Terms, or business necessity. Where commercially reasonable, notice will be provided.

5. Hosting, Availability, and Downtime

5.1 No Guarantee of Uptime
While Menu Matrix makes reasonable efforts to maintain service availability, websites and digital services may experience downtime due to maintenance, third-party providers, technical issues, or circumstances beyond our control.

5.2 Client Responsibility
Clients are responsible for maintaining physical or offline copies of menus or other critical business materials. Menu Matrix is not liable for losses resulting from temporary service interruptions.

6. Stickers and Physical Materials

6.1 One-Time Inclusions
Any physical items (including but not limited to QR code stickers) included with a service are provided as a one-time shipment, unless expressly stated otherwise in writing.

6.2 Additional Materials
Requests for additional quantities, replacements, or different sizes or formats may result in additional charges.

7. Intellectual Property

Unless otherwise agreed in writing, Menu Matrix retains ownership of all proprietary systems, templates, processes, and tools used to provide services. Clients are granted a limited, non-transferable license to use the delivered website or digital menu during the active service period.

8. Limitation of Liability

To the maximum extent permitted by law, Menu Matrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising out of or related to the use or inability to use our services.

9. Indemnification

You agree to indemnify and hold harmless Menu Matrix LLC, its owners, employees, and contractors from any claims, damages, liabilities, or expenses arising from your use of the services, your content, or your violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law principles.

11. Acceptance

By checking the box, clicking "I Agree," signing an agreement, or using Menu Matrix services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
